Terms of Service
1. Agreement and provider
These Terms of Service (“Terms”) govern your use of Verseframe, a lyric-video creation service provided by The Nerdic Coder, Business ID 3134083-3, a Finnish sole trader operated by Johan Axelsson (“Verseframe,” “we,” “us,” or “our”). By creating an account or using the Studio, you agree to these Terms. If you use Verseframe for an organization, you confirm that you have authority to bind it.
If you do not agree, do not use the service. Questions may be sent to [email protected].
2. Eligibility and accounts
You must be at least 16 and legally able to enter into these Terms. If local law requires parental consent at a higher age, you may use Verseframe only with that consent. You must provide accurate account information, keep your account secure, and promptly tell us if you suspect unauthorized access. You are responsible for activity through your account unless it results from our failure to use reasonable security measures.
3. The service
Verseframe lets you upload media, synchronize lyrics, choose visual settings, and render lyric videos and related files. Features, supported formats, limits, and availability may change as the service develops. During beta or testing periods, capacity may be limited and features may change or be withdrawn on reasonable notice.
4. Your content
You keep ownership of the audio, video, lyrics, images, fonts, timing data, and other material you submit, and any rights you have in outputs created from it (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, adapt, transmit, and display Your Content only as needed to provide, secure, maintain, and troubleshoot Verseframe, comply with law, and follow your instructions. This license ends when Your Content is deleted from active systems, except where limited retention is legally required or remains in backups for a reasonable period.
You confirm that you have all rights and permissions needed to submit and use Your Content and grant this license. This includes rights in compositions, recordings, lyrics, images, video, typefaces, trademarks, and any person’s likeness or personal data. Verseframe does not obtain music or third-party clearances for you.
5. Outputs
You are responsible for checking each output before publishing or distributing it. Automated transcription, timing, layout, and rendering can contain errors. We do not guarantee that an output is accurate, unique, accepted by a platform, or cleared for commercial or other use. Subject to these Terms and third-party rights, we claim no ownership of your generated output.
6. Acceptable use
You may not use Verseframe to:
- violate law or infringe intellectual-property, privacy, publicity, contractual, or other rights;
- upload malware or material that is unlawful, abusive, exploitative, deceptive, or intended to harm another person;
- impersonate another person or misrepresent the source or authorization of content;
- probe, disrupt, overload, or bypass security, authentication, access controls, or usage limits;
- reverse engineer the service except where applicable law expressly permits it; or
- scrape or access the service through unauthorized automated means.
We may investigate suspected misuse and remove content or restrict access where reasonably necessary to protect the service, users, third parties, or comply with law.
7. Rights notices
If you believe content processed or displayed through Verseframe infringes your rights, email [email protected] with your contact details, identification of the protected work, the relevant content or location, the basis for your claim, and confirmation that the information is accurate and you are authorized to act. We may request more information, restrict the identified content, or terminate repeat infringers where appropriate.
8. Verseframe intellectual property
We and our licensors retain all rights in Verseframe itself, including its software, design, branding, and documentation. You receive only a limited, personal, non-exclusive, non-transferable, revocable right to use the service under these Terms. If you send feedback, you allow us to use it without restriction or payment, but you do not have to provide feedback.
9. Third-party services
Verseframe relies on third-party infrastructure and may link to or embed third-party services, including authentication and video playback. Their terms and privacy practices may apply. We are not responsible for third-party services outside our control.
10. Suspension, termination, and deletion
You may stop using Verseframe at any time, remove completed generations through the service, and request account deletion by email. We may suspend or terminate access if you materially or repeatedly breach these Terms, create a security or legal risk, or if we discontinue the service. Where reasonably possible, we will give notice and an opportunity to remedy the issue. Provisions that by their nature should survive termination will survive.
11. Availability and changes
We use reasonable care in operating Verseframe but do not promise uninterrupted, secure, or error-free operation. Keep independent copies of source media and important outputs. We may modify or discontinue features for security, legal, technical, or product reasons. If a change materially reduces a paid service, any additional rights stated at purchase or required by law apply.
12. Warranties
To the fullest extent permitted by law, Verseframe is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms excludes warranties or remedies that cannot lawfully be excluded, including mandatory consumer rights.
13. Liability
Nothing limits liability for fraud, intentional misconduct, gross negligence, death or personal injury caused by negligence, or liability that cannot legally be limited. To the fullest extent permitted by law, we are not liable for indirect or consequential loss, lost profits, lost opportunities, or loss of data arising from the service. Our total liability will not exceed the greater of the amount you paid us during the 12 months before the event giving rise to the claim or EUR 100. These limits do not restrict mandatory consumer remedies.
14. Changes to these Terms
We may update these Terms to reflect changes to the service, law, security, or our business. We will post revised Terms and update the effective date. If a change materially affects your rights, we will provide reasonable advance notice through the service or by email where practical. Changes do not apply retroactively. If you do not agree, stop using the service.
15. Governing law and disputes
These Terms are governed by the laws of Finland, without regard to conflict-of-law rules. Finnish courts have jurisdiction, but consumers may also bring claims in the courts of their country of residence and keep mandatory protections provided by its laws. Before filing a claim, please contact us so we can try to resolve it informally.
16. General
If a provision is unenforceable, it will be limited or removed only as necessary and the remaining provisions continue in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganization or transfer of the service, subject to law. These Terms and any feature-specific terms presented to you form the entire agreement about Verseframe.
